Job Overview

The Company Secretary & Compliance Officer plays a crucial role in ensuring that the company operates within legal and regulatory frameworks, maintains corporate governance standards, and adheres to compliance requirements.





Qualifications and Skills
Experience in Company Secretary role with knowledge of statutory compliances
Familiarity with legal compliance requirements and corporate governance practices
Strong understanding of risk management principles
Proficiency in company law and ability to interpret legal documents
Excellent organizational and communication skills
Roles and Responsibilities
Corporate Governance:
Ensure compliance with corporate governance principles and regulations.
Organize and attend board meetings, AGMs, and other corporate meetings.
Draft and maintain accurate records of board resolutions and minutes.
Legal Compliance:
Keep abreast of changes in relevant laws and regulations affecting the company.
Develop and implement compliance policies and procedures.
Conduct internal audits to assess compliance levels.
Regulatory Compliance:
Monitor and ensure compliance with regulatory requirements from relevant authorities.
Prepare and submit statutory filings and reports as required by law.
Liaise with external legal counsel or regulatory bodies when necessary.
Risk Management:
Identify and assess legal and compliance risks.
Develop strategies to mitigate risks and ensure the company's interests are protected.
